Anybody else received a corporate action notice today. BST Group ("BSTG") are making an open offer to all existing shareholders to purchase three new subscriber shares for every existing share that they currently own at 0.01p per share.

I've questioned this with ii because the nominal value of BSTG's existing oridinary shares is 3p per share and, as far as I'm aware, it's not legal to issue new shares at a discount to their nominal value. I'm assuming that the Board and other large investors are relying on PI apathy to try and swamp them out but there's already 216m shares in issue so it all seems rather academic to me.

I currently hold 8,000 shares and appear to be being offered the opportunity to buy 24,000 additional shares (with a theoretical nominal value of £720) for £24 (a figure ii confirmed over the phone)!

ii's initial response was to say that the nominal value of the shares isn't relevant to the open offer but I've begged to differ. If this was legal then, in the event of a solvent winding up, you'd in effect have acquired an equivalent right to any existing shareholder to the capital available for distribution despite having only contributed one 3,000th of the nominal share capital per share! I have to admit that the question of a solvent winding up in the absence of any apparent purchaser willing to acquire BSTG's assets at a significant (astronomical) premium to their current book value would seem to make it a mute point but, on principle, that's irrelevant.

I'm almost tempted to chuck £24 at it just to see what comes out of the woodwork, if anything, but would not be happy to susbcribe only to find that I'm expected to stump up £720 (or more) at a later date because of an error in their paperwork.

The amount that BSTG seem to be asking for the new subscriber shares is risible and, allowing that there are 216m shares currently in issue, will, by my estimate, only raise £65k! That'll barely cover the issue costs if that! Something's awry (or afoot).

It won't escape notice that the bail out investors at 3p are centred around the Hubco team (the delisted RTO vehicle that Reynolds introduced to the BST float). Looks like an act of contrition, to me anyway.

Reynolds has led investors down the garden path here after his cosy little fireside chat with TW a while back. He didn't do so well at REAT either, did he? I'd prefer it if he was nowhere near OPTI after these sh1tshows.

Any techies out there will know that you can do what a large chunk of what this business does using "Amazon Rekognition Video" from AWS, at about 1/500 of the price they charge.

But the actual product they sell doesn't even stack up for me. Proven by the poor sales.

Finally, AIM and investors are wising up on these overvalued loss-making tech companies like this. That make about £750k revenues and £3/4/5 million losses a year. Just not viable businesses.

PS - Don't get me started on the totally ridiculous name. "Penny, a company called for you. I think they said they were from Big Sofa Technologies?!" Woman in fits of laughter "wtf?!"

In December 16 IPSOS and Flamingo were in the short list of existing customers of BST, along with Unilever and P&G. Sadly for investors, it looks like an old pals club is behind BST rather than a great business proposition. The outsiders don't tend to stay very long either.

So what does this POS actually do that your AVERAGE investor can actually understand. It looks like this was another ramped by blogger stock who is mates with someone on the inside.

Apart from the stupid company name, this just looks like your regular, raise money at discount, flip/forward sell, just prior to a ramp, encourage a big short, then buy back at lower value.

Classic aim. How did this ever get to valued at 24p?

how do you know at what point in the companies development these 'other investors' were looking to get in?

two years ago, two months, two days?


the company still has to show it can grow profits at the rate hoped for - but having this particular shareholder/partner - the biggest in the business, not number 290 on Canada's Hot500 - onboard gives the odds of that a huge bump.

18.5p whilst above the prevailing share price at the time is in fact the lowest placing price so far. They will need more money as well, I'm pretty sure of that. Let's see if that queue materializes when they need further investors to stump up even more funds, and at what price next time?
