SCHEME OF RECONSTRUCTION (the "Scheme")

The Company went into liquidation today following the
passing of each of the resolutions proposed to
shareholders at this morning's Extraordinary General
Meeting.

The Total Net Assets of the Company, which were
calculated as at close of business on Monday, 27
September 1999, were #81,807,750, amounting to 766p per
Ordinary Share.

Of the Total Net Assets, #5,620,326 will be transferred
to the Finsbury Continental European Equity Fund, a sub
fund of Finsbury Global Fund, in return for shares in the
Finsbury Continental European Equity Fund to be issued to
shareholders in the Company who elected to roll over
their investment into shares under the Scheme.
#75,189,005 will be distributed in cash to those
shareholders who elected for cash under the Scheme.

A retention of #998,419 will be distributed in cash by
the Liquidators of the Company to all shareholders in due
course, subject to the deduction by the Liquidators of
the liabilities described in the circular to shareholders
dated 27 August 1999 and any further liabilities of the
Company.

It is expected that cheques in respect of the cash
elections under the Scheme will be despatched later in
the week.
