                     RECOMMENDED MERGER WITH BEESON GREGORY


                                  OFFER UPDATE


Evolution announces that, acceptances of the Merger Offer for Beeson Gregory
having now been received in respect of in excess of 90% of the Beeson Gregory
Shares to which the Merger Offer relates, notices are today being despatched to
those Beeson Gregory Shareholders who have not yet accepted the Merger Offer,
pursuant to which Evolution is exercising its rights to acquire compulsorily the
remaining Beeson Gregory Shares to which the Merger Offer relates in accordance
with the provisions of sections 428 to 430F (inclusive) of the Act.

Evolution is today also writing to the holders of options over Beeson Gregory
Shares with appropriate proposals in relation to those options.

As stated in previous announcements, application has already been made for
cancellation of the trading of Beeson Gregory Shares on the London Stock
Exchange's market for listed securities and the listing of Beeson Gregory Shares
on the Official List of the UKLA and it is anticipated that such cancellations
will take effect on 22 August 2002.

The Merger Offer remains open for acceptance until further notice.
