                               Disposal

Caradon announces the disposal of Caradon Catnic, its UK steel lintels
business to British Steel plc for a consideration of #13.6m in cash.

In the year ended 31 December 1998, Catnic had turnover of #26.9m, and made a
proforma operating profit of #1m (before restructuring charges and an
adjustment for pension costs).  The business had net assets (excluding
goodwill) of #9.3m as at that date and estimated net assets of #13.3m at
completion.  Goodwill allocated to the business was #63.8m.

The sale proceeds will be applied in paying down group debt.  The disposal of
Catnic, which has been undertaken as part of the strategy of Caradon's new
management team to concentrate on fewer, larger businesses, completes the UK
part of the disposal programme initiated in September 1998.  A total of 7
businesses have been sold to date.  In North America, Better Bilt has already
been sold, and Caradon is in the process of disposing of its 3 remaining North
American doors and windows businesses.
