                           ("Azure" or the "Company")



On 2nd December, 2003 Chiddingfold Investments Limited announced the terms of a
mandatory offer for the Company.


Under Rule 2.10 of the City Code on Takeovers and Mergers the Company confirms
as follows;


   *the Company has 1,242,250 Ordinary Shares of 1p each in issue and
    admitted to the Alternative Investment Market under the ISIN Code GB
    0033692368.


   *the Company has granted options over 177,728 ordinary shares of 1p each
    which are outstanding.


Following admission of the shares to be issued under the Placing and Debt
conversion (details of which were set out in the announcement made by the
Company on 2nd December, 2003) the Company will have 31,242,250 Ordinary Shares
of 1p each in issue. Dealings in the new shares are expected to commence on 5th
December, 2003.
