    Update Change in Substantial Shareholder Interest and Update re Takeover



Aztec was informed on 27 December 2006 by Mt Gibson Iron Ltd ("Mt Gibson") that
its interest in Aztec was 1,036,515,728 ordinary shares or 91.28%, including
shares owned by parties who have accepted its takeover offer for all the fully
paid shares of Aztec ("the Offer"). The previous notice by Mt Gibson of its
interest in Aztec, on 22 December 2006, stated that at that time Mt Gibson had
an interest in 1,022,561,481 ordinary shares or 90.06%.


Mt Gibson also announced on 27 December 2006 that the Offer had closed on 22
December 2006 and, having reached all applicable thresholds, Mt Gibson had
commenced the compulsory acquisition process to acquire all the remaining shares
in Aztec which it does not already own.

In accordance with ASX Listing Rule 17.4, Aztec was suspended from trading on
the ASX today, 3 January 2007.
