RNS Number:4660R Welsh Water Utilities Finance PLC 03 April 2008 WELSH WATER APPOINTS NEW NON-EXECUTIVE DIRECTOR Welsh Water today announced that Robert (Bob) Ayling has been appointed a non-executive director of Welsh Water and its parent company Glas Cymru with effect from 3 April 2008. In welcoming Bob to the Board, Lord Burns, Chairman, said, "We are very pleased that Bob is joining the Board. He brings with him a great deal of relevant experience, including his 15 years at British Airways where he was Chief Executive until 2000. Bob Ayling said, "I have been a customer of Welsh Water for more than 25 years and as a non-executive director I hope to be able to make a contribution to the company's continuing success. Welsh Water remains unique in being owned by Glas Cymru, a not for profit company, and being run solely in the interests of its customers - I know Welsh Water wants to be seen by its customers as being the very best water company and I will want to contribute to this from my own experience of running customer service organisations. It is a 'company limited by guarantee' registered under the Companies Act 1985. Glas Cymru has no shareholders. Instead, members carry out an important corporate governance role but they do not receive dividends nor do they have any other financial interest in the Company. This corporate structure ensures that all financial surpluses generated are retained and reinvested for the benefit of Welsh Water and its customers. 2. Glas Cymru's constitution strictly limits its purpose to that of financing water assets in Welsh Water's area of appointment and managing Welsh Water's business so that high quality water and sewerage services are delivered at least cost to the communities served by Welsh Water. Glas Cymru cannot diversify into other unrelated commercial activities. 3. Bob Ayling (61) is Chairman of Holidaybreak plc, Vice chairman of Dyson Limited and Chairman of the International Dispute Resolution Centre. He was Managing Director and Chief Executive of British Airways between 1993 and 2000 and a former director of Royal & Sunalliance Insurance Group. A solicitor by profession, earlier in his career he spent 20 years in the City of London and as a senior government legal advisor at the Department of Trade and Industry.
