At a Regular Meeting of the Board of Directors of Atlantic Richfield Company
held on Monday, July 28, 1997, the following dividends were declared:

Common Stock - Dividend No. 368

A quarterly dividend of seventy-one and one-quarter cents ($0.7125) on each full
share of ourstanding Common Stock (CUSIP 048825 10 3) payable September 15, 1997
to the stockholders of record at the close of business on August 15, 1997. This
dividend reflects the 2-for-1 stock split that took effect on June 13, 1997.

$3.00 Preference Stock - Dividend No. 127

A quarterly dividend of seventy-five cents ($0.75) on each full share
outstanding $3.00 Cumulative Preference Stock (CUSIP 048825 20 2) payable
September 19, 1997 to Preference Stockholders of record at the close of
business on August 15, 1997.

$2.80 Preference Stock - Dividend No. 114

A quarterly dividend of seventy cents ($0.70) on each full share of outstanding
$2.80 Cumulative Convertible Preference Stock (CUSIP 04885 40 0) payable
September 19, 1997 to Preference Stockholders of record at the close of business
on August 15, 1997.
