ARLA FOODS UK PLC SHARE SCHEMES 1.1 Acquisition of shares by an EBT On 3 April 2002 the Company was notified that Ogier Employee Benefit Trustee Limited as trustee of the Express Dairies Employee Share Ownership Trust (the "Trust") subscribed for 1,706,542 ordinary shares of 2p each in the Company at a price of 2p per share on 29 March 2007. The total holding of the Trust following this acquisition is 3,807,704 ordinary shares of the Company. The Trust is a discretionary trust established by the Company for the benefit of employees of the Company and its subsidiaries. The executive directors of the Company named below are, together with all of the Company's employees, potential beneficiaries under the Trust and are, therefore, for the purposes of the Companies Act 1985, deemed to have a notifiable interest in all the shares held by the Trust: Martin Gilbert Nigel Peet Tim Smith Simon Stevens 1.2 Arla Foods UK plc Director/PDMR shareholding On 3 April 2007 the Company was notified that awards under the Express Dairies plc Long Term Incentive Plan 1998 (the "Plan") had vested. The participants of the Plan include certain executive directors and other senior executives of the Company discharging managerial responsibilities (together "Managers"). The vested awards are to be satisfied by ordinary shares of 2p each in the Company held by Ogier Employee Benefit Trustee Limited as trustee of the Trust. The participants of the CSOPs include certain PDMR. The exercised options are to be satisfied by new issue ordinary shares of 2p each in the Company.
