                                 Board changes


Arko today announces the following changes to the board, which were agreed at a
meeting of the board held on 27th November 2003.

The board of directors of Arko has received notification from Mr. Clement Leung
that it is his intention to stand down from the position of CEO.  Pursuant to
the service agreement with Mr. Leung, his resignation will take effect from 31
December 2003.

In a statement Mr. Leung said "with the increasing focus of the Group on
pursuing opportunities in mainland China, and its decreased focus on coal
trading and related activities (in which I am experienced), I decided that I
wish to pursue opportunities available to me in Hong Kong.  It has been a great
privilege for me to lead Arko over the last two years and I believe under the
able leadership of Mr K.C. Chin, the Chairman, and other board members, Arko
will have a prosperous future".

Ms Angela Leung, an Executive Director, will succeed Mr Leung in an interim
capacity as Chief Executive and the directors will seek to strengthen further
the executive membership of the board.

The board is also pleased to announce that Mr Shi Yan, Smith joins the board of
Arko as finance director with immediate effect.  Mr. Shi is currently the group
financial controller of Keen Lloyd Holdings Limited and chief financial officer
- China division of the Group.  Mr Shi, aged 38, graduated from South Western
University of Finance and Economics in China, majoring in accounting.  He
obtained a MBA degree from Sun Yat-sen University and is a member of the Chinese
Institute of Certified Public Accountants.  Prior to joining Keen Lloyd group,
Mr. Shi worked in a state-owned enterprise for over nine years in a senior
position of finance manager and deputy general manager.

Mr Chin commented:

"I would like to take this opportunity to thank Mr. Leung for successfully
steering the Group through the period after the completion of the acquisition in
2002 and we wish him the very best for the future.

I am also particularly pleased to welcome Mr Shi as a new executive director. Mr
Shi's management and financial experience will greatly enhance the strength of
our executive colleagues, in particular his experience in supervising
joint-venture enterprises will enable the Group to avoid, or if necessary
resolve, potential conflicts between Chinese and Western business customs."
