                   ANNOUNCEMENT TO THE LONDON STOCK EXCHANGE

                  Arko Holdings plc ("the Company" or "Arko")

           Dealings by Directors in the share capital of the Company


The Directors of the Company announce that on 14 October 2003 Keen Lloyd
Holdings Limited ("KLHL") disposed of 11,276,786 ordinary shares of 0.5p each ("
ordinary shares") in the Company to 15 current or former employees of the
Company and notified the Company accordingly.  Following this disposal, which
was for nil consideration, the shareholding of KLHL in the Company is now
1,697,697,214 ordinary shares, representing 95.05 % of the Company's issued
share capital.

The transferees in respect of this disposal include Dr. Lai Wai Chung, Laurence
and Leung Tze Kin, Clement,  both of whom are Directors of the Company and who
have received 446,429 (0.025 %) and 1,125,000 (0.063 %) ordinary shares
respectively.

KLHL is a wholly owned subsidiary of Chin Dynasty Foundation Limited ("CDFL"),
which is considered to be the ultimate holding company of Arko. Mr. Chin Kam
Chiu's family are potential beneficiaries of the Chin Dynasty Fund, a trust
which has an interest in CDFL. Accordingly, the shareholding of KLHL in the
Company is deemed to be a disclosable interest of Mr. K.C. Chin under Section
324 of the Companies Act 1985.

Following the transfers described above, the interests of the Directors,
together with their beneficial interests, including family holdings, in the
share capital of the Company are as follows:
