Director/PDMR Shareholding

                             Director Shareholding                             

The Company has been notified by The M&L Pension Scheme, of which Jeffrey
Morris, Executive Deputy Chairman, is one of the beneficiaries, that it has
today purchased 281,818 ordinary shares in Amteus plc at a price of 55p per
share, representing 0.82 per cent. of the issued share capital of the Company.

As a result of this transaction Jeffrey Morris now has a beneficial
shareholding of 19,894,488 ordinary shares, representing 57.72 per cent. of the
issued share capital of the Company.

In accordance with Rule 7 of the AIM Rules, The M&L Pension Scheme has
undertaken not to dispose of any interest in the share capital of the Company
(subject to certain limited exceptions) until 12 months after Admission and
have further undertaken for a period of 12 months thereafter not to dispose of
such interests without the prior written consent of John East & Partners
Limited, the Company's Nominated Adviser, such consent not to be unreasonably
withheld or delayed.
