ASIA POWER SOLUTIONS LTD. - CHANGES TO CLASS B SHARE RIGHT TO CONVERT

The Directors of Asia Power Solutions Ltd. "APS" (GXG: APS) are pleased to
announce the changes to the paragraph 7.3 of the Memorandum of Association and
Articles of Association for the Class B shares right to convert:

Each Class B Share shall be convertible, at the option of the holder thereof,
at any time into a Class A Share on a one for one basis. Such conversion shall
be deemed to have been made upon receipt by the Company of the written notice
of the election to convert from the holder of the Class B Share. The Company
shall, as soon as practicable thereafter, update its share register.

Notwithstanding the foregoing, no Class A Share certificate shall be issued to
a Shareholder until any existing share certificate held by the Shareholder with
respect to the Class B Share being converted shall have been surrendered to the
Company.
