ALL IPO PLC 01 February 2007 All IPO plc ("All IPO" or the "Company") 4 New IPO, EIS and VCT opportunities available on www.allipo.com The Company is pleased to announce that it has made 4 new investment opportunities available on its website to the private investor. All IPO registered members can log into their accounts and download the offer documents. Any decision to invest must be made solely on the basis of the relevant documentation and particularly after acceptance of the full terms and conditions relating to the specific investment opportunity. All IPO provides an execution only service. The details below should not be construed as investment advice or a personal recommendation by All IPO plc. High Road Capital plc: An IPO opportunity The Company was formed on 12 January 2007 to take advantage of opportunities to invest in or acquire a company or companies or businesses or assets. The Directors preferred structure would involve the acquisition by the Company of another company or business in exchange for the issue of Ordinary Shares in a single transaction (a "reverse takeover"). The Directors believe that the status of the Company as a publicly traded investment vehicle will enable it to obtain favourable terms in providing capital investment for companies in growth situations. The Directors intend to fund such investments or acquisitions using a mixture of cash, equity and/or debt and intend to actively monitor them following a transaction. British Country Inns 3 plc: An EIS product British Country Inns 3 plc intends, assuming the Maximum Subscription is achieved, to grow a portfolio in the region of eight to ten pubs by acquiring suitable existing freehold and long leasehold units. The Executive Directors of the Company have long experience in the licensed trade and in particular, Tim Udell and Peter Mathews were responsible for forming individual units into a profitable estate, English Country Inns PLC, which became an attractive acquisition target and was sold to Wolverhampton & Dudley Breweries (now Marston's) in September 2005 for #13.65 million. British Country Inns 3 PLC is launched following the success of British Country Inns PLC, whichraised approximately #7.5 million in early 2006 and British Country Inns 2 PLC which raised approximately #7.8 million at the end of 2006. British Country Inns has purchased eight pub units and its funds were fully invested by the end of October 2006. As at 11 January 2007, British Country Inns 2 had purchased two pub units and its funds are likely to be fully invested by the end of 2007. British Smaller Companies VCT plc: An Official List VCT Opportunity British Smaller Companies VCT is an established company with a net asset value of #16.7 million, invested in some 21 companies. It has been advised since its launch in 1996 by YFM Private Equity, whose dedicated investment team has delivered strong investment performance. British Smaller Companies VCT is now one of the fastest growing VCTs and a top ten performer over one, three and five years. Core VCT IV plc and Core VCT V plc: Official List VCT Opportunities Core VCT IV & V offer a highly differentiated investment opportunity with some distinguishing features which the Companies believe provide investors with a number of advantages over other VCTs.The Core VCTs were set up to invest in later stage small to mid-market companies to support management buy-outs, acquisitions, balance sheet restructuring and other similar activities. These companies are attractive because they tend to have strong management teams and good financial prospects, cash flows, and balance sheets but are typically unable to find the right type of financing to support their business objectives. The Core VCTs aim to provide them with the appropriate funding, whether through Private Equity Investments with Core VCTs I, II & III, or through Mezzanine Investments with Core VCTs IV & V.
