AGA FOODSERVICE GROUP PLC
RESULTS OF TENDER OFFER

Aga Foodservice Group announces the results of its Tender Offer, which closed
on 10th May, 2001.  Valid tenders were received for 130,771,563 ordinary
shares and a Strike Price of 255 pence has been set.

The consideration which totals #333,467,486 will be sent on Monday 21st May,
2001 to those shareholders who tendered their shares.

Chief Executive, William McGrath, said: "This Tender Offer completes the
transformation of the company, and enables the Aga Foodservice Group to move
forward with a supportive shareholder base and a strong balance sheet."
