AGA FOODSERVICE - BOARD CHANGES

Aga Foodservice today announces the following Board changes with effect from 1st
February 2004.

Peter Tom, aged 63, will be appointed to the Board as an independent
non-executive director. Peter is Chief Executive of Aggregate Industries plc and
Chairman of Leicester Football Club PLC (Leicester Tigers). Peter has
substantial international business experience notably in the USA.

In accordance with Chapter 16.4 of the Listing Rules, no further details are
required to be disclosed under paragraph 6.F.2 (b) to (g).

As previously announced, Vic Cocker, aged 63, becomes non-executive Chairman
from 1st February 2004 when Kit Farrow steps down after four successful years in
the role.

In view of these board changes the chairmanship and membership of the Company's
Board Committees has been reviewed.

The Audit Committee will be chaired by John Lovering and comprise the three
independent non-executive directors (John Lovering, Helen Mahy and Peter Tom).
The Chairman of the Board, Vic Cocker, will chair the Nomination Committee and
the other members are the three independent non-executive directors and the
Chief Executive, William McGrath.

Peter Tom will chair the Remuneration Committee and membership will comprise Vic
Cocker, John Lovering and Helen Mahy.

Vic Cocker said: "I am delighted to welcome Peter to the Board of the Aga
Foodservice Group. We have a strong non-executive team to which Peter's
international business experience will add appreciably."
