AerCap Holdings N.V. Files Shelf Registration Statement for Secondary Offerings of Management Compensation Shares

AMSTERDAM, Netherlands, Nov. 7  /PRNewswire-FirstCall/ -- AerCap Holdings N.V. ("AerCap," NYSE: AER) today announced it has filed an automatically effective shelf registration statement on Form F-3 with the U.S. Securities and Exchange Commission (the "SEC").  The filing relates to ordinary shares of AerCap to be received after November 27, 2008 by certain members of senior management, certain directors and a consultant which may be sold from time to time.  The ordinary shares of AerCap will be received in exchange for shares held in a holding company that indirectly owns AerCap shares and AerCap will not issue any new ordinary shares in connection with this exchange or sale of ordinary shares.  The shares being exchanged were originally received as compensation for services prior to AerCap's initial public offering.
