Issue of Equity 
 
The Directors of Acuity Growth VCT plc (the "Company") are pleased to announce 
that with respect to the Offers for the 2010/2011 tax year an initial allotment 
has been made on 15 April 2010 of 39,362 ordinary shares of 1p each ("Ordinary 
Shares"), such shares having been issued under offers (the "Offers") made 
pursuant to a Offer for Subscription of the Company dated 2 March 2010, for up 
to, 2,450,000 new ordinary shares. The Company announced on 1 April 2010, that 
the Offer Price of a New Ordinary Share under the Offer for Subscription dated 2 
March 2010 is 93.5p as calculated by the formula set out on page 4 of the Offer 
Document. 
 
The Offer Price was determined by reference to the last published net asset 
value per ordinary share, being the net asset value per ordinary share of 88.1p 
as at 31 December 2009 announced on 11 January 2010 
 
Application for the Ordinary Shares to be admitted to the Official List of the 
UK Listing Authority and to trading on the London Stock Exchange's market for 
listed securities will be made and dealings are expected to commence on shortly. 
 
The Offers in respect of the 2009/2010 tax year have now closed.  The Offers in 
respect of the 2010/2011 tax year may close at any time but in any event not 
later than 10.00 a.m. on 30 June 2010, unless fully subscribed earlier.
