Item 7.01 Regulation FD Disclosure

 

On August 26, 2015, ZaZa Energy Corporation (the “Company”) received a letter (the “NASDAQ Letter”) from The NASDAQ Listing Qualifications Staff (the “Staff”) stating that the Staff has determined that the Company’s securities will be delisted from The NASDAQ Stock Market LLC (“NASDAQ”).  The Company has appealed the Staff’s determination to delist its securities, and NASDAQ has scheduled a hearing for October 1, 2015 to hear the Company’s appeal.  Until the NASDAQ hears the Company’s appeal and makes a final determination on the appeal, the delisting action referenced in the NASDAQ Letter has been stayed and the Company’s shares of common stock will continue to be listed for trading on the NASDAQ.  There can be no assurance that the Company will be successful in its appeal and be able to retain the listing of its shares of common stock on NASDAQ.
