Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 3, 2017, Thomas McCabe informed the President & CEO of Worldwide Strategies Inc. (the Company), James P. R. Samuels, that he was resigning from his position as Chief Financial Officer of the Company to pursue other opportunities.  Mr. McCabe's decision to resign did not result from any disagreement with the Company, the Company’s management, or the Board of Directors.  Mr. McCabe’s resignation was effective on February 3, 2017.
