Item 5.07. | Submission of Matters to a Vote of Security Holders. |
On August 18, 2019, Simplicity Esports and Gaming Company (the “Company”) held a special meeting of its public warrant holders (the “Special Meeting”). At the Special Meeting, public warrant holders were asked to vote on the following proposals:
1. | To amend the Warrant Agreement, dated August 16, 2017, by and between Continental Stock Transfer & Trust Company and the Company (“Warrant Agreement”), in order (a) to reduce the exercise price of publicly and privately issued warrants, issued and outstanding under the Warrant Agreement, from $11.50 per share to $4.00 per share, subject to adjustment, and (b) to revise the redemption provisions of the warrants to provide that the Company may only redeem each warrant in whole at a price of $0.10 per warrant upon a minimum of 30 days’ written notice of redemption if, and only if, the last sale price of the Company’s common stock equals or exceeds $7.00 per share (as opposed to the current $21.00 per share) for any 20 trading days within a 30-trading day period – this proposal is referred to as the “Warrant Amendment Proposal”; and |
2. | To consider and vote upon a proposal to adjourn the Special Meeting to a later date or dates, if necessary, to permit further solicitation and vote of proxies if, based upon the tabulated vote at the time of the Special Meeting, the Company is not authorized to consummate the Warrant Amendment Proposal—this proposal is referred to as the “Adjournment Proposal.” |
There were 6,424,000 public warrants issued and outstanding under the Warrant Agreement on June 20, 2019, the record date for purposes of the Special Meeting. Of the 6,424,000 public warrants issued and outstanding, 3,383,702 were present in person or by proxy at the Special Meeting. The votes with respect to each matter voted on by public warrant holders at the Special Meeting are set forth below.

Because approval of the Warrant Amendment Proposal required the affirmative vote of the holders of 65% of the Company’s public warrant holders, the Warrant Amendment Proposal was not approved. Approval of the Adjournment Proposal required the affirmative vote of the holders of a majority of our public warrants represented and entitled to vote thereon at the Special Meeting. However, the board of directors did not adjourn the Special Meeting.
