Item 8.01

Other Events

 

On February 24, 2018, Wave Sync Corp. (the “Company”) and Quan Tu Tong Navigation and Network Ltd. Co. (the “Target”) entered into a Memorandum of Understanding, pursuant to which the Company and Target shall in good faith negotiate the terms of a definitive agreement for the contemplated merger and keep confidential any material non-public information during such negotiation period. The Target is in the business of developing satellite-based navigation systems and networks.
