Section 5 - Corporate Governance and Management

Item 5.02 - Departure of Directors of Certain Officers; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective as of July 28, 2014, Rainmaker Systems, Inc. and its Chief Financial Officer, Bradford Peppard, have agreed to allow Mr. Peppard to work on a part-time basis while a search for his replacement is concluded.  Mr. Peppard’s compensation will be proportionately adjusted during this period.
