Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

 

(d) On December 18, 2008, ViewCast.com, Inc. (the “Company”) announced the appointment of David W. Brandenburg to the Company’s Board of Directors.  In connection with his appointment, Mr. Brandenburg was granted an option to purchase 50,000 shares of the Company’s common stock under the Company’s 2005 Stock Incentive Plan.  The exercise price for the option is $0.315 and the option becomes exercisable on December 18, 2009.  The Company has not determined on which committees of the Board of Directors Mr.  Brandenburg will serve at this time.  A copy of the press release announcing this matter is furnished as Exhibit 99.1 to this report.
