ITEM 5.02 DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS

On September 2, 2011, James R. Buckley provided notice of his intent to resign as the Chief Financial Officer of Verecloud, Inc (the "Company"). The effective date of his resignation as Chief Financial Officer was September 2, 2011. Mr. Buckley will continue as an employee of the Company through September 30, 2011. William E. Wood, III, President of the Company, will serve as interim Chief Financial Officer until the Company fills the position.

On September 9, 2011, the Company terminated the employment of its Chief Operating Officer, Michael P. Cookson, without cause.
