Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

On October 27, 2008, M r . Steven M. Plumb resigned as the Company’s chief financial officer, treasurer and secretary.  The resignations are effective October 27, 2008.

Effective October 29, 2008, Kevan Casey has been appointed principal accounting officer and secretary.  Mr. Casey, currently serves as a director and the Company’s Chief Executive Officer.
