Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 1, 2020, the Board of Directors (the "Board") of Sonic Foundry, Inc. (the "Company") appointed Kelsy Boyd to serve as the Chief Financial Officer. There was no arrangement or understanding between Ms. Boyd on the one hand, and any other person, on the other hand, pursuant to which Ms. Boyd was selected as Chief financial Officer. Ms. Boyd does not have a family relationship with any current director or executive officer of the Company.

Effective June 1, 2020, Kenneth Minor will no longer serve as Interim Chief Financial Officer. Mr. Minor will continue to perform transition services for the Company through September 30, 2020.
