Results of Operations and Financial Conditions.

 

On February 13, 2009, Solar EnerTech Corp. (the “Company”) issued a press release announcing its financial results for the first fiscal quarter ended December 31, 2008. A copy of the Company’s press release is attached hereto as Exhibit 99.1.

The information disclosed under this Item 2.02, including Exhibit 99.1 hereto, shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, and shall not be deemed incorporated by reference into any filing made under the Securities Act of 1933, except as expressly set forth by specific reference in such filing.

The Company appointed Mr. Philip Fei Yun as a director of the Company, effective February 10, 2009, to fill the vacancy on the Company’s Board of Directors.

There is no arrangement between Mr. Yun and any other person pursuant to which he was to be selected as a director.

 

There are no relationships or related party transactions involving Mr. Yun requiring disclosure in this Current Report on Form 8-K.
