Item 5.07.

Submission of Matters to a Vote of Security Holders.

 

On December 18, 2018, stockholders of Regional Brands Inc. (the “Company”) holding a majority of the issued and outstanding shares of the common stock of the Company, by written consent in lieu of a meeting, re-elected the Company’s previously reported Board of Directors, comprised of Carl Grassi, Fred DiSanto, Brian Hopkins and Jeff Anderson, in its entirety. The re-election of directors was approved by holders who collectively own approximately 51.4% of the issued and outstanding shares of common stock.
