Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

 

12 Retech Corporation (the “Company”) amended its Articles of Incorporation with the State of Nevada in order to effectuate a 1 for 100 reverse split of its outstanding common stock (the “Amendment”). As previously disclosed in an August 16, 2019 SCHEDULE 14C Information Statement, the shareholders of the Company approved of the Amendment by written consent on July 1, 2019, 2017. The board of directors of the Company approved the Amendment on July 17, 2019. The Amendment became effective on October 18, 2019.
