Item 3.02       Unregistered Sales of Equity Securities

 

On July 2, 2014, Radioio, Inc. (the “Company”) sold 192,308 shares of the Company’s common stock, par value $.001 per share (“Common Stock”), to an individual investor for a purchase price of $125,000, or $0.65 per share.  The Company will use the proceeds from this transaction for working capital purposes.

 

In connection with the issuance of shares of Common Stock described above, the Company relied on the exemption from registration for a private transaction not involving a public distribution provided by Section 4(2) of the Securities Act of 1933, as amended.
