Explanation of Responses:
( 1)	Mr. Costa's employment with the Issuer was terminated on January 6, 2016. In accordance with the severance terms of the relevant restricted stock agreements, a portion of the time-vesting and performance-vesting restricted stock previously awarded to Mr. Costa vested on the date of his termination. The remainder of his restricted stock awards was cancelled.
