Explanation of Responses:

(1)

On November 29, 2020, Mr. Drexler entered into a convertible secured promissory note agreement with a principal amount of $2,871,967 with the Company (the "November 2020 Convertible Note"). Mr. Drexler may elect to convert all or any portion of the convertible amount into shares of the Company's common stock at any time for $0.23 per share at any time. Both the principal and any accrued but unpaid interest under the November 2020 Convertible Note will become due and payable on July 1, 2021, unless earlier converted or repaid.
