Item 1.01 Entry into Material Definitive Agreement.

On July 1, 2016, Medical Imaging Corp. (the “Company”) sold to Assurance Funding Solutions $500,000 of future accounts receivables for $350,000. The Company will make monthly payments of $20,000 each to Assurance for a period of 25 months.

Proceeds from the sale were used primarily to retire some short term debts of the Company with the remainder for general working capital purposes.
