EXPLANATORY NOTE: DEREGISTRATION OF SECURITIES

     On July 15, 2003, LOUD Technologies Inc. (formerly Mackie Designs Inc.), a Washington corporation (the “Company”), filed a registration statement on Form S-8 (File No. 333-107060) (the “Registration Statement”) with the Securities and Exchange Commission, which registered a total of 1,728,000 shares of the Company’s common stock, without par value (the “Common Stock”), authorized for issuance under the Company’s 2003 Stock Option Plan. As a result of the Company’s 1-for-5 reverse stock split in 2005, the number of shares authorized under the 2003 Stock Option Plan was adjusted to 345,600 shares.

     The offering under the Registration Statement has been terminated because the Company intends to deregister its Common Stock under the Securities Exchange Act of 1934, as amended. Accordingly, pursuant to the undertaking by the Company in the Registration Statement to remove from registration, by means of a post-effective amendment, any of the securities previously registered that remain unsold at the termination of the offering, the Company is filing this Post-Effective Amendment No. 1 to the Registration Statement to deregister and remove from registration the securities of the Company that are registered but unsold under the Registration Statement as of the date hereof.
