(the “Company”) filed a Certificate of Amendment to its Certificate of Incorporation, pursuant to which the Company is authorized to issue 10,000,000, shares of preferred stock, par value $0.0001, which shall have such designations, preferences and relative, participating, optional or other special rights and qualifications, as the Board of Directors may designate
