1. The warrant vests in three equal annual instalments beginning on May 5, 2024.

2. The warrant is held of record by Azurite Management LLC. Mr. Rosen, in his capacity as the sole manager of Azurite Management LLC, has the ability to indirectly control the voting and disposition of securities held of record by Azurite Management LLC and, as such, may be deemed to have indirect beneficial ownership of the securities held of record by Azurite Management LLC. Mr. Rosen disclaims beneficial ownership of these securities, except to the extent of his pecuniary interest therein.
