( 2)	Non-qualified options granted to Sound Business Solutions, Inc. pursuant to the 2005 Stock Option Plan (the "Plan"), of which 150,000 options were dependent upon shareholder approval of an amendment increasing the shares reserved for issuance under the Plan. Because the amendment to the Plan will not be submitted to the shareholders for approval, options granted under the Plan in excess of those previously authorized have been terminated and are of no further force or effect.
