ITEM 5 .0 3 Amendment to Articles of Incorporation

This Current Report on Form 8-K is filed by Integrative Health Technologies, Inc., a Delaware corporation (the “Registrant”), in connection with the items set forth below.
 
The Company has not issued any shares since the current management team was installed in July 2006 and has no plans to issue any additional shares in the near future. Therefore, with the recommendation of the Board of Directors and approval by a majority (97.1%) of shareholders at its annual shareholders’ meeting on December 15, 2008, the Company amended its articles of incorporation to reduce the number of authorized shares from 220 million to 50 million.
