( 1)	Pursuant to Company's Offering Circular dated October 30, 2008, $5,000 worth of outstanding 8% Notes, plus accrued interest to date thereon, were exchanged for 728,000 shares of the Company's Common Stock. These Notes were to become due March 31, 2009, and were issued pursuant to terms of Indenture dated March 31, 1998, as amended with American Stock & Trust Company, as trustee.
