Hawk Systems, Inc. (the “Company”) is unable to file its Annual Report on Form 10-K for the fiscal year ended December 31, 2009 (the “Form 10-K”) by the prescribed filing date of March 31, 2010. The Company is unable to meet the Form 10-K filing deadline because it has experienced delays in completing its Form 10-K, which will not give the Company’s auditors sufficient time to conduct their audit of the Company’s financial statements for the fiscal year ended December 31, 2009.
