Item 3.02 Unregistered Sale of Equity Securities.

On June 5, 2015, Dynamic Gold Corp. completed a private placement of 10,000 common shares at a price of $1.00 per share for total proceeds of $10,000.

The securities were sold to a non-U.S. person pursuant to Regulation S under the United States Securities Act of 1933.
