ITEM 5.07 | SUBMISSION OF MATTERS TO A VOTE OF SECURITY HOLDERS. |
Gold Torrent, Inc. (the “Company”) held its 2018 Annual Meeting of Stockholders on February 16, 2018 (the “Annual Meeting”). At the Annual Meeting, proxies representing 14,228,587 shares of the Company’s common stock or approximately 70.75% of the total outstanding shares entitled to vote, were present and voted to: 1) approve the adoption the merger agreement dated October 19, 2017 (the “Merger Agreement”), among the Company, Gold Torrent (Canada) Inc. (“Gold Torrent Canada”) and GTOR US Merger Co. (“US Merger Co.”), pursuant to which US Merger Co. will be merged into the Company, with the Company surviving the merger as a wholly-owned subsidiary of Gold Torrent Canada (the “Redomicile Transaction”), 2) elect six nominees to the board of directors of the Company, 3) ratify the appointment of Morgan & Company LLP as the Company’s independent registered public accounting firm for the fiscal year ending March 31, 2018, 4) approve, on a non-binding advisory basis, the compensation of the Company’s named executive officers, all of which were described in more detail in the Proxy Statement/ Prospectus filed by the Company with the Securities and Exchange Commission (the “SEC”) on a Schedule 14A on January 26, 2018 (the “Proxy Statement”), 5) recommend on an advisory basis that the stockholder vote to approve the Company’s executive compensation should occur every year, and 6) approve the Company’s 2016 Stock Option and Stock Bonus Plan (the “Plan”). The proposals related to each matter are described in detail in the Proxy Statement. The adjournment proposal was not acted upon at the Annual Meeting. On February 22, 2018, the Company issued a press release announcing it planned to offer up to $12.9 million (Canadian dollars) in subscription receipts (the “Subscription Receipts”) in a private offering to persons in the United States who qualify as “accredited investors” as such term is defined in Rule 501(a) of Regulation D under the United States Securities Act of 1933, as amended (the “Securities Act”) and outside the United States to non-U.S. persons in reliance on Regulation S under the Securities Act. The press release is filed herewith as Exhibit 99.1.
The Subscription Receipts have not been registered under the Securities Act, or any state securities laws, and unless so registered, may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws.
