Explanation of Responses:
(1)	On December 8, 2022, the Issuer and the Reporting Person agreed to cancel the restricted stock award granted on November 15, 2022 and disclosed on the Form 4 filed on November 17, 2022, in exchange for 2,500,000 shares of restricted stock units ("RSU's").
(2)	Represents RSU's". Each RSU represents a contingent right to receive one share of the Issuer's common stock. Pursuant to the Reporting Person's Employment Agreement dated November 15, 2022, the RSU's shall vest in 20 equal quarterly increments on the last day of each calendar quarter, beginning with December 31, 2022, subject to continued employment on each applicable vesting date and execution of the Issuer's Restricted Stock Unit Agreement.
