("VOFF SPV II", and together with the Fund and Valens U.S., the "Investors") collectively held (i) a warrant (the "March 2006 Warrant") to acquire 1,329,883 Shares at an exercise price of $0.001 per Share, subject to certain adjustments, (ii) a Warrant (the "May 2008 Warrant") to acquire 3,500,000 Shares at an exercise price of $0.001 per Share, subject to certain adjustments, (iii) a secured convertible note (the "Note") in the initial principal amount of $1,750,000, which is convertible into Shares at a conversion price of $0.10 per Share, subject to certain adjustments, and (iv) 2,948,871 Shares.
