ITEM 3.02.   Unregistered Sales of Equity Securities

 

The registrant, ERF Wireless, Inc. is referred to herein as “we”, “our” or “us”.

 

From September 5, 2014, through September 12, 2014, we issued 1,070,000 common stock shares pursuant to Convertible Promissory Notes.  The Shares were issued at an average of $.053 per share.   The issuance of the Shares constitutes 11.4% of our issued and outstanding shares based on 9,366,523 shares issued and outstanding as of September 4, 2014.
