Item 2.02

Results of Operations and Financial Condition.

     On May 21, 2013, China GengSheng Minerals, Inc., a Nevada corporation (the “Company”), announced delay in filing quarterly report and preliminary financial results for the quarter ended March 31, 2013. A copy of the press release is annexed as Exhibit 99.1 hereto.
