Explanation of Responses:
( 1)	Effective as of June 10, 2011, Ceres Ventures, Inc. (the "Company") awarded Mr. Patel a restricted stock grant of 135,000 shares for his service as an officer of the Company, which vests in three equal installments on June 20, 2011, 2012 and 2013. This Form 4 relates to the 45,000 shares that vested on June 20, 2012.
( 2)	Consists of 30,997,500 shares of the Company's common stock, par value $0.00001 and 206,250 Series C Stock Purchase Warrants ("Series C Warrants") owned by Mr. Patel. Each full Series C Warrant allows the holder thereof to purchase one share of the Company's common stock at an exercise price of $0.16 per share through December 31, 2012.
