Cambex Corporation (OTCBB:CBEX) today announced that it has filed a Form
15 with the Securities and Exchange Commission. Cambex is eligible to
suspend registration because it has fewer than 500 holders of record of
its common stock and its total assets have not exceeded $10 Million on
the last day of its last three fiscal years. As a result of filing the
Form 15, the Company will no longer be required to file annual and
quarterly reports with the Securities and Exchange Commission. “The
Company took this action because it believes that the incremental cost
of compliance with the Sarbanes-Oxley Act of 2002 and other public
company reporting requirements is not in the best interest of its
shareholders. Rather it will focus on and spend its resources to market
its High Availability Software and VersaCache technologies ”
said Joseph F. Kruy, Chairman and CEO of Cambex.
