Item 8.01

Other Events.

 

On February 2, 2021, B2Digital, Incorporated, a Delaware corporation (the “Company”), entered into a Securities Purchase Agreement with Geneva Roth Remark Holdings, Inc. (the “Lender”) pursuant to which the Company issued to the Lender a Convertible Promissory Note in the principal amount of $45,250. On July 30, 2021, the Company paid the note, including accrued and unpaid interest and prepayment penalties, in full.
